Professional Services Statement of Work

This Statement of Work, including all Exhibits, attachments and other documents referencing this Statement of Work (collectively, the “SOW“), is entered into as of the countersigned date of the Order Form (the “Effective Date“) by and between Valcre, Inc. (“Valcre“), and Client Name specified on Order Form (“Client“). This SOW incorporates the terms and conditions of the Valcre Terms of Service (or such other master subscription agreement between Valcre and Client), including all exhibits thereto and amendments (the “Terms and Conditions”) and Order Forms entered into thereunder between Valcre and Client. In the event of any conflict among the terms contained in the Terms and Conditions, Order Forms or this SOW, the order of precedence is as follows: SOW (with respect to the subject matter in such SOW), Order Form, and Terms and Conditions. All capitalized terms used but not defined in this SOW have the meanings set forth in the Order Form or Terms and Conditions, as applicable.

1. Executive Summary

In this SOW, Valcre will provide consulting, enablement, configuration, or training services with the aim of helping Client achieve the business outcomes described in the Exhibit(s) attached hereto (the “Professional Services”).

2. Change Requests

Changes to the scope of the Professional Services or to the fees must be agreed upon by both parties in a separate Order Form (the “Change Order”) to this SOW. Each Change Order will include a detailed scope of the proposed change, along with an associated cost and any schedule adjustments. No work will be performed under a Change Order until it has been mutually agreed upon in writing by both parties. The cost of the Change Order shall be provided in advance, and payment will be invoiced and due upon the effective date of the fully executed Change Order.

3. Product Feedback

Client requests for new features or enhancements to the Valcre platform will be documented and submitted to the Valcre Product Team for internal technical review. Such requests are beyond the scope of this SOW unless formalized through a mutually executed Change Order.

4. Travel and Expenses

Professional Services performed under this SOW will be performed remotely, except where expressly set forth in the Exhibit(s). In the event of travel incurred in connection with the performance of the Professional Services purchased hereunder, Client shall reimburse Valcre for reasonable travel expenses that are pre-approved by Client in writing.

5. Expiration of Professional Services

This SOW shall expire upon completion of the Professional Services term, 90 days from the SOW Effective Date (“SOW Expiration“), unless Valcre and Client are actively participating in the delivery of the Professional Services and Client requests an extension in writing to the Implementation Project Lead or Valcre Leadership. Any such requests for an extension of the SOW Expiration will not be unreasonably withheld, but will require a Change Order, and will be subject to additional fees.

Valcre Implementation Process

1. Roles and Responsibilities

The typical roles and responsibilities needed to fulfill the scope of Professional Services under this Exhibit are as follows:

Training AssociateThe Training Associate will conduct the applicable training sessions as defined in this SOW.
Solutions EngineerAs a trusted advisor, the Solutions Engineer offers deep domain knowledge and best practice guidance, bridging the gap between complex valuation principles and practical technology solutions. Where necessary, they collaborate with stakeholders to understand their needs, translate them into technical requirements, and ensure successful outcomes.
Client RolesResponsibilities
Executive SponsorThe Executive Sponsor is the Client sponsor and strategic point of contact for the project. They are responsible for setting the charter of the project.
Project LeadThe Project Lead serves as the primary liaison, attending all meetings and championing the project internally. This individual is accountable for all Client deliverables and will oversee the completion of all Client-owned tasks.
Technical LeadThe Technical Lead will assist with data migration, assess and implement the Valcre Add-In for the Microsoft Excel and Word Ribbon, and handle any necessary infrastructure permissioning and setup for purchased and applicable API and/or SSO services.
Project Stakeholder(s)Valcre Platform Users are designated as Project Stakeholders. Their responsibilities include attending all necessary training sessions and contributing feedback when requested.

2. Professional Services in Scope

The following Professional Services are included in the Valcre Implementation Process. Any changes to the scope of the Professional Services must be agreed upon by both parties in a separate Change Order to this SOW.

● Any subsequent data received will be considered a second migration and will require a Change Order, subject to additional fees
● Image assets must contain an identifier for the corresponding records
● Types of data migrated: Job records, Contact records, Property records, Comparable records, Sales (Land & Improved), Leases (Retail, Office, Industrial, Land), Surveys (Multi-Family, Self-Storage, MHC)

At no time will Valcre access, log into, operate within any third-party data system, or contact a third-party on a Client’s behalf to review, download, or otherwise retrieve data

● In the event that there are non-standard data fields present in the data provided, Valcre will schedule a data review meeting with Client to discuss the appropriate mapping and a mutual determination will be made to:
a) Map the data to an existing Valcre field
b) Exclude the data
c) Append the notes section of the appropriate record
d) Create a custom field on the appropriate record

These assets must be submitted to Valcre utilizing the Client Branding Assets & Sample Report form within the Valcre project management system

Valcre will create a sample Commercial Word report utilizing mock data from an artificial company for the purposes of Client reviewValcre

● Header content

● Report narrative: Report narrative changes requests are restricted to non-content-controlled narrative: Non-highlighted black or red text that is not populating into the report template from the Excel Valuation Workbook

A licensed Client Appraiser is required to participate in the review process

Client must utilize the Word “Comments” feature to provide all feedback
● All feedback must be consolidated into one file copy of the sample Commercial Word report document

Client shall not make any modifications to the Excel Valuation Workbook – i.e. adding/removing sheets, modifying formulas, adding/deleting rows, etc.
● Any modifications to the Excel Valuation Workbook performed by Client without the expressed written consent of Valcre may inhibit Valcre from providing support services for the aforementioned product component
Please note that any modifications made by Client will not automatically carry forward into any future releases or versions and will require manual updates by Client

No modifications to the Excel Valuation Workbook by Valcre, including table structure and format, are within the scope of this SOW

Valcre will review the Commercial Word report feedback submitted from Client and implement the requested changes that fall within the scope of this SOWValcre
Valcre will create up to two (2) additional standard Word report templates during the implementation period
● This does not count against any additional Specialty templates purchased

Valcre will create a sample Invoice and Professional Services Agreement utilizing mock data from an artificial company for the purposes of Client reviewValcre

Valcre will review the Invoice and Professional Services Agreement feedback submitted from Client and implement the requested changes that fall within the scope of this SOWValcre
TrainingValcre to provide the following four (4) virtual, instructor-led training sessions in the following order:
● Session 1: Database Basics
● Session 2: Excel Excellence
● Session 3: Word Warriors
● Session 4: Income Approach: Commercial Direct Cap

Repeated no-shows or late cancellations may result in the forfeiture of virtual instructor-led training sessions
● In such cases, training will continue through our weekly virtual refresher sessions, which may include multiple Clients

This ensures consistent progress while accommodating scheduling needs

The Client will be responsible for scheduling the training sessions via the provided scheduling link, and ensuring all Client Stakeholder(s) participate in the training sessions at the scheduled times
● Training recordings will be provided for future reference.

All Client participants will be required to complete post-training tasks as outlined at the end of each training session

Valcre will provide virtual, instructor-led refresher training sessions on a weekly basis [Client participation is optional]
These sessions are provided on a set schedule, and may contain participants from outside of the Client organization

3. Functionality and Services Out of Scope

Any tasks, deliverables, services, or responsibilities not expressly stated in the Scope of Work (SOW) outlined above shall be considered out of scope. The inclusion of any such items will require a separate agreement or a mutually executed Change Order, including any associated adjustments to timelines, fees, or resource commitments. For the avoidance of doubt, no implicit assumptions should be made regarding the inclusion of items not specifically identified in this SOW.

4. Assumptions

  • Any discount, concession, or variance from standard policy is granted as a one-time exception and shall not be construed as a waiver of policy or a precedent for future transactions. For the avoidance of doubt, such exceptions do not imply a continued or ongoing offering.
  • Client holds primary responsibility for data quality of sufficient standards to achieve Client goals, such as merging of data outside of Valcre and cleaning data by resolving any data file issues such as date formatting, character issues, missing record identifiers, incorrect fields, or duplicate records.
  • Client will provide all necessary data, systems, permissions, and connectivity for Valcre to perform its obligations under this Exhibit.
  • Client will provide a resource(s) that is knowledgeable of the Client’s data, data mapping, and data flow. 
  • All Client data is assumed to be in a usable state which does not require additional aggregations or manipulations within Valcre.
  • Unless otherwise agreed to in writing between Valcre and Client, Client will not require any additional security, policy, or onboarding requirements of Valcre personnel in order to kickoff or continue performance of this project at any stage. 
  • The Valcre project team will perform the Professional Services on business days and during working hours that are standard for the jurisdiction where the project team member is located.
  • The scope of this Exhibit will be no longer than the defined duration of the Valcre Implementation Process specified on the Order Form and activities will occur in a contiguous fashion as part of a single-phase project. In the event the Client causes or creates any variance to the project that requires additional Valcre efforts such as extended timeline or additional project phase(s), additional fees may be required under a mutually agreed upon Change Order.
  • Any work not included in this SOW that is subsequently added through a mutually agreed upon Change Order may be scheduled for commencement and completion only after the fulfillment of the original obligations set forth in this SOW, subject to resource availability and mutual agreement on revised timelines.

5. Project Completion

The following milestones have been successfully completed:

  • Your Valcre Online instance has been fully set up and configured
  • Access to the Valuation Workbook and Report Templates has been enabled
  • All designated user accounts have been provisioned
  • You have full access to training materials, help Center resources, and ongoing customer support services

As of this stage, the Valcre Implementation Process is considered complete, and your account will transition from Implementation to ongoing support under your assigned Client Success Manager.

Your Client Success Manager will serve as your primary point of contact moving forward to ensure continued success, adoption, and value realization from our platform.
